General Terms and Conditions – Fico Belgium BV

1. An order, including those recorded by our agents or representatives, is only binding if explicitly confirmed in writing by us. Cancellation is not possible unless previously agreed in writing by Fico Belgium BV. For orders under a net minimum of €50, an administrative fee of €12.50 will be charged.

2. Goods/services will be delivered within the timeframe stated in the agreement. The goods remain the property of the producer/seller until full payment of the principal amount, costs and interest. However, the risk of loss or damage to the goods is transferred to the buyer at the time of sale.

3. The buyer must ensure that the goods/services can be delivered and installed under normal conditions at the agreed time and location, including ensuring accessibility. If this is not fulfilled, the buyer will be liable for all damages, including waiting time, storage fees, and preservation costs.

4. The buyer must inspect the goods/services immediately upon delivery. Any defects must be reported by email or registered mail within 15 calendar days. After this period, the seller is only liable for hidden defects that render the item unfit for use and were unknown to the buyer, provided the goods were not processed. Hidden defects must be reported within 3 calendar days after discovery, with a detailed description and photos.

5. Except as stated in Article 4, the seller is not liable for any damage caused by the goods, unless in case of gross negligence or intent. Colour variations cannot be a reason to reject delivery. Custom-made products cannot be returned. The seller's liability is limited to the invoice value. The seller is not liable for indirect damage (e.g. loss of revenue, contracts, capital costs, or other consequential damages). The seller is not liable for errors by agents, even in case of gross negligence or intent.

6. Custom product volume conditions:
   -    Minimum 5 pieces per item as per agreed rate, unless otherwise agreed.
   -    For up to 3 pieces per item: +25% surcharge.
   -    For single-piece orders: +50% surcharge.

7. Resale of Fico Belgium BV products is only permitted via the buyer’s own physical retail points or online platforms under their own control. Resale via alternative digital retail channels or media is strictly prohibited.

8. Unless otherwise agreed in writing, invoices are payable within 30 calendar days. In case of late payment, the amount will be increased after 2 reminders by 12% annual interest and 10% late fee (minimum €58). Non-payment makes all invoices immediately due and entitles the seller to suspend or cancel further deliveries without prejudice to compensation.

9. Unless otherwise agreed, prices are “ex works”. Collection is only possible upon receipt and presentation of a dispatch note issued by Fico Belgium BV. Shipping will be charged at current market rates.

10. If the buyer fails to meet contractual obligations, the seller has the right to suspend performance or cancel the contract after formal notice and without judicial intervention, if no remedy is provided within eight working days.

11. Fico Belgium BV updates its prices annually, but reserves the right to implement immediate price adjustments if necessary.

12. Fico Belgium BV cannot be held liable for any damage or accidents resulting from improper or incorrect use of delivered products.

13. All agreements are governed by Belgian law. Disputes shall be brought exclusively before the courts of Antwerp, division Hasselt.

These terms apply in full without exception.
